This agreement is jointly concluded by you and Shenzhen Yundou Intelligent Electronics Co., LTD. (hereinafter referred to as: Yundou), and it has the effect of the contract. Yundou reminds you, please focus and read carefully about the terms of this agreement in bold, underlined, color marked or in other reasonable ways to prompt your attention. Such terms may have a significant interest in your rights and interests, including but not limited to the relevant agreed liability, the rights and obligations of both parties, dispute resolution and judicial provisions. If you believe that these terms may prejudice some or all of your interests or rights under certain circumstances, you must read the above terms again before confirming your consent to this Agreement or before using the Service and use the Service provided that you voluntarily accept these terms.

1.1 [ChatEasyAI Series membership and account number]
1.1.1ChatEasyAI Series of members include: ChatEasyAI member rights. Unless otherwise specified, the ChatEasyAI Series is are "You", "User" or "Member". Yundou has the right to adjust its membership categories, names and grades from time to time according to its actual needs, and will inform you in the form of Yundou.
ChatEasyAI Membership rights: can be used in mobile phones, computers, tablet computers;
1.1.2 If you need to use and enjoy ChatEasyAI series membership services, you need to authorize the account you enjoy to use on ChatEasyAI mobile APP, web page, H5, small program and other applications (collectively referred to as "ChatEasyAI application"). After the authorization, you can recharge the membership for the ChatEasyAI account.
After successful recharge, the ChatEasyAI account will be the corresponding "ChatEasyAI member rights account" within the validity period of the membership, and enjoy the corresponding ChatEasyAI series membership services within the validity period of the membership. Unless otherwise specified, the provisions of this Agreement regarding ChatEasyAI Series members shall apply to the interests of ChatEasyAI members.
1.1.3 Here I need to remind you that ChatEasyAI series members and other application members belong to different membership systems. Being a ChatEasyAI series member does not mean that you can obtain membership of other applications at the same time. If you need to open other member services, please read the rules or service agreements of the relevant member service page, and choose to open the relevant member services according to your needs.
1.2 [This Agreement]
The contents of this Agreement shall also include the relevant agreements, business rules, additional terms, product requirements (including but not limited to age requirements) concerning the Service that have been issued from time to time in the future. The above contents shall come into force upon their official release and shall be an integral part of this Agreement.
1.3 [ChatEasyAI Series Member service (also referred to as: this Service)]
ChatEasyAI Series membership service, that is, ChatEasyAI series members available in ChatEasyAI applications and special free services from time to time. You understand and agree that the special services given by ChatEasyAI are benefits other than ChatEasyAI series member services, and the way, content, duration and scope of which are determined by Yundou, and Yundou has the right to make adjustments.
ChatEasyAI Series of member rights and interests, including content first viewing, 1080P, cache privilege, etc., are subject to the description of the member privilege page on the ChatEasyAI platform or the actual provision of ChatEasyAI. If the name of the member rights and interests under this Agreement is inconsistent with the description on the page, the content of the member rights and interests you actually enjoy will not be affected. To avoid doubt, the membership rights here refers to that, as a ChatEasyAI, series member, you can enjoy the unlimited number of chat rights provided by ChatEasyAI.
Please understand that ChatEasyAI series members have different types of members in different grades, and different grades may be different. At the same time, the service specific service content and terminal can be applicable according to your ChatEasyAI series member category and cloud bean obtained authorization (to provide the service to the third party to obtain authorization, including but not limited to marketing prize provider, etc.), different categories of members and special agreement please see article 3 of this agreement, other relevant terms of this agreement and ChatEasyAI series member service page, hereinafter referred to as "member service page").in general:
1.4 [ChatEasyAI Series Membership Rules]
From time to time, Yundou will publish and revise the ChatEasyAI user rules, activity rules, use rules, announcements, tips, notices and online FAQs. Yundou will be released through the form of system prompt or information push or background announcement. The above contents will come to effect upon being officially released and shall be an integral part of this Agreement.
1.5 [ChatEasyAI Series Member Service Provider]
ChatEasyAI Series member service provider refers to Shenzhen Yundou Intelligent Electronics Co., LTD., hereinafter referred to as "Yundou" in this Agreement.
1.6 [User Data]
User data refers to all kinds of data generated by the cloud bean server during the use of the service, including but not limited to login records, browsing records, operation behavior logs, purchase logs, recharge records, purchase records, payment records, messages, membership period, etc.
According to the relevant laws and regulations and national standards, some user data and personal information.
1.7 [Agreement modification]
Cloud beans may be for business needs, laws and regulations, authorities notice, etc., this agreement (including but not limited to the member category, member name, relevant rights and interests, charging standards (including but not limited to membership package, automatic renewal package, extra service price, way, etc.) to modify (modification include change, increase, reduce the terms of the corresponding content). Once this agreement is modified, Yundou will be released through the form of system prompts and / or information push and / or background announcements. Please be sure to read it carefully. If you choose to continue to use the Service, you have fully read, understand and agree to be subject to the amended Agreement. If you have any problems with the modification of this Agreement or do not agree with our modification of this Agreement, you may stop using this Service and consult the customer service. However, you should be reminded that the updated Agreement shall take effect from the date of release of the updated version.
1.8 [Use principle]

1.9 [Other]
If you see other paid services other than ChatEasyAI series member services on ChatEasyAI and want to know related services, please read the rules or service agreement of the relevant service page carefully, and please pay attention to the service provider; if you need to open such service, the corresponding service provider will provide the service to you and charge a fee. If you have any problems with the service, please contact the service provider.
2.1 [Login and Logout]
You are authorized on a device to login your ChatEasyAI series member account, the ChatEasyAI application on the device in login will be your ChatEasyAI series member account for the object, if you do not want to keep relevant data records or want to use other devices to enjoy ChatEasyAI series member service, please opt out login after use (see article 2.5).
If you need to cancel the ChatEasyAI series member account, you need to cancel the ChatEasyAI account. Please follow the instructions to complete the relevant operations.
After logging in, you can view user data such as the service term, membership category, membership level, cache and content.
2.2 [Account Management]
2.2.1 Please correctly use and properly keep and maintain your ChatEasyAI series member account and password. In case of any leakage, loss, theft, which is not caused by the legal fault of Yundou, and all losses will be borne by yourself;
2.2.2 for maintaining your account security, you granted cloud beans to protect your account security rights, cloud beans can (but no obligation) regularly or irregularly use different ways to the use of your account security check, verification, including but not limited to contact you for authentication, short message authentication, email authentication, face recognition authentication, etc. If you are unable to complete the verification or refuse to verify without justifiable reasons, you will reasonably suspect that your account is abnormal or stolen. Due to the necessity of account security protection, Yundou may suspend its account from providing services and / or take further measures.
2.3 [Use Rules]
2.3.1 [Legal Access to and Use of Cloud Bean (1) ChatEasyAI series membership services Cloud Bean is limited to your use in your official ChatEasyAI operations or authorized programs. ChatEasyAI The scope of application of the above membership services is constantly increasing and adjusting with the expansion and change of cooperation, subject to the actual situation when you enjoy the membership services. Any act of separating the ChatEasyAI series membership services from the procedures officially designated by the ChatEasyAI by illegal means such as cracking, translation and transcription shall not belong to the ChatEasyAI series membership services as agreed upon in this Agreement. Yundou reserves the right to pursue the legal liability and claim of the tort-feasor.
(2) any to steal, use system vulnerabilities, through any cloud bean official or authorized access of ChatEasyAI series member services (including but not limited to purchase, rent, borrowing, share, transfer, etc), malicious use or destruction of ChatEasyAI series member activities for member services, are illegal, not protected under this agreement, cloud bean has the right to cancel and / or shall not provide member services, all losses and liability shall be borne by the infringer.

(4) When you participate in the ChatEasyAI series of member activities, you should be conducted in accordance with the rules of the activities and in a legal way that does not harm the interests of the activity organizer. If any user using system vulnerabilities, rules set defects, system setup errors, abuse of membership to participate in activities and obtain the relevant benefits, are illegal behavior, not the relevant protection under this agreement, and cloud beans have the right to take measures to deal with, all the loss and responsibility shall be borne by the infringer.
(5) When using the Service, you should abide by the national laws, regulations, policies and the use rules issued by Yundou, including but not limited to the restrictions and requirements of tipping and recharge.
2.3.2 [proprietary and non-commercial purpose use]
(1) ChatEasyAI Series membership services provide you with a personal, non-transferable, non-commercial, revocable, limited and non-exclusive service on the premise that you comply with this Agreement and relevant laws, regulations, policies, public order and good customs, etc. You can only use for non-commercial purposes and for personal use.
(2) You understand and agree that you shall not provide the account enjoying ChatEasyAI series membership services to others in any way, including but not limited to, by means of transfer, renting, borrowing, sharing, selling, including but not limited to live broadcasting, recording, watching, uploading or participating in activities. Otherwise, any legal consequences and liabilities arising therefrom shall be borne by you by yourself, and Yundou shall have the right to suspend or terminate the services provided to you.
2.3.3 [Independent account number]
(1) For an account owned by the same subject, each account will be identified as an independent account when logging in to the ChatEasyAI series of member accounts;
(2) If the same subject has multiple accounts and logs in to the ChatEasyAI series of member accounts, each account will be identified as an independent account;
(3) If the same subject has multiple accounts and logs in to the ChatEasyAI series of member accounts, each account will be identified as an independent account;
(4) If the same subject has multiple mobile phone number and logs in to the ChatEasyAI rights account, each mobile phone number will be identified as an independent account;
(5) The recharge records and user data between each account cannot be transferred, migrated, transferred, donated, sold, rented, and shared. 2.3.4 [Validity period rules for the recharge of different types of membership services]
The validity period of different categories of member services is subject to the interface display of the ChatEasyAI series member center. If you receive ChatEasyAI membership hours, you will receive the same ChatEasyAI membership hours.

2.3.5 [Right Ownership]
You only have legal obtained ChatEasyAI series member account under the integral, virtual goods, ChatEasyAI series member services, virtual community goods and other services and product use, the services and products and derivatives ownership and intellectual property rights are cloud beans, but you through legal channels of entity product ownership or cloud beans except otherwise announced. Yundou will decide the service period and / or termination period of the services, products and derivatives according to the actual situation and announce them accordingly. The data generated by the above services and products belong to Yundou, but the relevant rules concerning personal information and privacy are specified in the ChatEasyAI Privacy Protection Guidelines.
2.3.6 [Login Limit]
You need to understand and agree that after opening this service:
(1) if you are ChatEasyAI member rights and interests, the same account can most in five devices ("equipment" refers to including but not limited to mobile phone, computer, computer, web and other terminal equipment) login and use ("use" refers to including but not limited to login, use member services, etc.), such as you are ChatEasyAI member rights and interests, the same account can be in eight equipment login and use;

2.4 [Tourist mode]
2.4.1 You further know and agree that you do not use the ChatEasyAI account to log in. You will use the ChatEasyAI in the tourist mode, but you may not be able to recharge or consume in the tourist mode. And once you uninstall or reinstall ChatEasyAI, or you replace your mobile phone, computer and other terminal devices or the terminal equipment is damaged, all user data may be emptied in this visitor mode, and cannot be queried and restored. Any loss caused to you shall be borne at your own expense.
2.4.2
If you get ChatEasyAI series member rights is provided by mobile phone number, and the phone number is not associated ChatEasyAI series member account, to ensure the member rights, cloud beans will be your phone number to generate specific ChatEasyAI series member account, related member rights in you get the day is issued to your specific ChatEasyAI series member account and calculate the use time. Please authorize the association or the account to officially log in within the validity period of use. 2.5 [Out]
If you need to log out, for ChatEasyAI APP, you can click to login in "Personal Center-Settings-Log out". The next time you choose to login, you can continue to view the data information you left before.
2.6 [The account is falsely used, stolen or lost]
2.6.1 If your ChatEasyAI series member account and password are falsely used or stolen by others, or any other use without your legal authorization, please reset the password in time.
(1) When you notify Yundou, you shall provide the valid personal identity information consistent with your registered identity information and / or the relevant proof and verification information required by Yundou;
(2) After Yundou receives your valid request and verifies your identity, Yundou will take corresponding account management measures according to your requirements or in combination with the specific situation;
(3) If Yundou takes corresponding measures according to your request, if there is any loss caused to you and / or other users, please understand and you shall bear the losses;
(4) If you do not provide the valid identity information or the personal valid identity information provided by you is inconsistent with the registered identity information, or you fail to provide relevant proof or provide error information, Yundou will refuse your request, and the loss caused thereby shall be borne by yourself.
2.6.2 If you forget the password of your ChatEasyAI member account and are unable to use ChatEasyAI series member services, if you apply for Yundou recovery, you shall provide corresponding information and proof in accordance with the requirements of the account recovery process published by Yundou, and ensure that the information and proof documents provided are legal, true and effective. If the materials provided by you are not true or do not meet the requirements, you cannot pass the security verification of Yundou, which may lead to the failure of account recovery, and the corresponding risks and losses will be borne by yourself.
2.6.3 It takes a reasonable time for Yundou to take action and handle your request. If you find any fraudulent use, stolen or lost, please follow the above procedure as soon as possible. Except for the legal fault of Yundou, Yundou will not bear any responsibility for your loss.
3.1 [Member Category]
ChatEasyAI Series members include ChatEasyAI member rights and interests. Please choose to open relevant services according to your needs.3.2
[Virtual Products]
3.2.1 Yundou has the right to independently price the virtual products (including but not limited to points, diamonds, etc.) provided by it, and has the right to change them and make corresponding announcements according to its own operation needs and cost changes. Please pay special attention to the price of the relevant virtual products and the relevant notices and announcements when purchasing or obtaining them in other legal ways;
3.2.2 Based on the nature and characteristics of virtual products, please understand that the virtual products you have obtained do not support return, exchange, exchange for cash, nor shall they be used in commercial fields, such as trading, replacement, mortgage, etc. All virtual products and their derivative services obtained through unofficial announcement channels shall be protected by Yundou, and Yundou has the right to unilaterally recover and terminate the corresponding services.
3.3 [Equipment and System Differences]
After you open this service through the channel designated by Yundou, you may have different specific services you can actually use due to different software versions, equipment, operating system and other systems you use or other third-party reasons, which may bring inconvenience to you, and you understand and agree to exempt Yundou from relevant responsibilities.
3.4 [Advertising Services]
3.4.1 You understand and agree that, in the process of using the Service, you may be exposed to different types of advertisements or other types of business information delivered in various ways (advertising on the content you upload, publish or transmit, etc.).

3.5 [About charges]
This service is a charging service provided by cloud dou before you can pay the corresponding fee according to the fee standard of this service.
According to the actual situation, Yundou will give different categories and levels of members with different purchase, opening and renewal. For specific preferential policies, please read the information released by Yundou on the relevant service page. Due to different activities, member categories or member levels, ChatEasyAI series members will enjoy different characteristic services and fees.
3.6 [Payment]
3.6.1 You should pay the fees through the existing methods specified by Yundou, including but not limited to mobile payment, Tenpay, card, digital RMB, UnionPay cloud flash payment, various online bank payment, or future Yundou. Different payment methods may be supported for different terminals and systems, please complete the payment according to the instructions on the payment page. After successful payment, no transfer or refund is required except in legal circumstances.
3.6.2 You shall not open this Service for yourself or others by any of the following means:
(1) Open cloud beans for oneself or others for the purpose of non-personal use such as profit or operation;
(2) Open this service for yourself or others through any robot software, spider software, crawler software, refresh software and other programs and software methods;
(3) Open the service for yourself or others through any improper means or in violation of the actual credit principle of Yundou;
(4) Open the service for yourself or others in a way not designated by Yundou;
(5) Open the service for yourself or others by infringing upon the legitimate rights and interests of Yundou or others;
(6) Open this service for yourself or others through other means that violate this Agreement or relevant laws, administrative regulations, national policies, etc.
3.7 [Service Term]
3.7.1 The term of this service shall be subject to the period when you choose and successfully pay the corresponding service fee. You can log in the Yundou Recharge Center or the corresponding page of the service. This period will not be extended due to your lack of use or other behavior. If the member service is not renewed, Yundou will stop providing your service. If you use the automatic renewal service, you will automatically extend the corresponding service period; if the deduction is not successful, the member service will be regarded as due and the service will stop.
3.7.2 The maximum opening period of this service will be subject to certain restrictions (the current upper limit is December 31,2099), subject to the announcement on the relevant service page.

3.9 [Special Tips on the ChatEasyAI Series Membership Service]
You understand and agree that the service content of ChatEasyAI series members may be different at different terminals due to the different equipment terminals. For details, please refer to the page description of Yundou or the service description that can be supported by the terminal.

If you choose to provide the above information, Yundou will also collect the above information.

3 [Liability]
If the user's breach of contract causes losses to its affiliates, including its own direct economic losses, goodwill losses, external compensation, and payment, attorney fees, legal fees and other indirect economic losses, the user shall compensate Yundou and its affiliates for all the above-mentioned losses.
If the third party damages are caused by your breach of contract, you shall be independently liable. If Yundou first makes compensation to the third party for any reason, you shall pay the payment to Yundou immediately after receiving the notice.
6.1 You know and agree that the content uploaded, posted or transmitted by a user on ChatEasyAI is the personal behavior of the user, and Yundou shall not take responsibility for the accuracy, authenticity, availability, security, integrity and legitimacy of such information and content, nor shall it bear any responsibility.
6.4 Yundou shall not bear any responsibility for the loss or reduction of your account and account property due to communication line failure, network or computer failure, network instability, force majeure, and other subjective reasons of the telecom and Netcom department.
6.5 for the necessity of meet the legal compliance requirements or due to force majeure, cloud bean may modify, change, interrupt or terminate part or all of the service, change, delete, transfer user storage, published in ChatEasyAI content (referred to as "change behavior"), in this case, cloud bean will inform you as far as possible the aforementioned change behavior. 7.1 ChatEasyAI Intellectual property rights holder. 8 The suspension or termination of this Service includes the following circumstances:

8.1.3 Yundou stops or stops the service according to the requirements of the state or relevant departments or the occurrence of force majeure events;
8.1.4 Other circumstances that shall be suspended or served in accordance with laws, regulations, policies, or the requirements of the competent authorities, or as agreed herein.
8.2
After the suspension or termination of the service, Yundou has the right but no obligation to ensure that you receive special tips or notice. When you find that you cannot log in or enjoy the service, you can consult our customer service staff.
8.3 In case of suspension or termination specified in Article 8.1:
8.3.1 Except for the responsibility stipulated by law, Yundou shall not bear any responsibility for you and any third party
8.3.2 Unless otherwise agreed in this Agreement, the fees collected shall not be refunded;
8.3.3 Keep relevant user data and information within a certain period of time; 5 points will be deducted every day until zero, and other members' interests will be changed or reduced according to the provisions of the platform;
8.3 For the ongoing platform transactions of Yundou, Yundou will make a reasonable judgment on whether to continue or terminate the relevant transactions according to the situation, and decide whether to refund or deduct the relevant fees as liquidated damages according to the circumstances.
8.4 for this agreement or rules may change (including but not limited to agreement, service rules, membership rights, etc.), cloud bean will notify you according to this agreement, please read and choose whether according to the adjustment and / or change this agreement / service rules / member rights continue to choose this service. If you agree to the above adjustments and / or changes, you may take the next steps or continue the Services to indicate that you have accepted the above adjustments and / or changes; if you do not agree to the adjustments and / or changes, we recommend that you stop using the Services immediately. Cloud beans will according to the actual situation, as far as possible reasonable way to the user under this agreement of all kinds of notice, including the following one or more ways: web announcement, site message, the client push, public notice, user reserved e-mail, text messages, regular letters or other ways permitted by law. You agree and understand that the notice under this Agreement shall be deemed to have been delivered to the User as of the date of publication and delivery.
In order to collect and understand the relevant notice, you should ensure that the reserved contact information is correct and effective, and log in ChatEasyAI for modification after the change. If you fail to provide the correct contact or inform the new contact information, you will bear the losses and legal consequences arising therefrom.
At the same time, if you refuse or block the notice by unsubscribe or active shielding, you may not be able to receive the aforementioned notice, and you will also bear the losses and legal consequences arising therefrom.
